Regardless of the underlying rea·
sons, it seems safe to assume that a bank
merger iJ not adverse to the public in·
teres! unless it creates a monopoly. Ev·
en so, there might conceivably be cir·
cumstances wbere the non-competitive
factors favoring a particular merger
DJight outweigh the resulting decrease
in competition, if any. In any event, the
public agencies charged with the duty
of examining and supervising banks are
best able to decide whether, on balance,
any merger Is beneficial to the public or
not.

Indeed, this Is exactly what they
were told to do by Congress when It en·
acted the Bank Merger Act of 1960.
This act definilely gave the proper su·
pervisory agencies the right to say the
last word on all proposed bank mergers.
They could ask the advice of the Department of Justice, hut they weren't required to take it.
Not so, said !he United States Supreme Court in !he Philadelphia and
Lexington, Ky., cases in 1963 and 1964,
mpectively, and in March, 1965, a Federal District Court in New York fo!low"d !he same reasoning In an opinion
which held that a bank merger consum·
mated in September, 1961, violated both
the Sherman and Clayton anti-trust
IJws. Thus. the courts in effect gave the
Department of Justice the last word on
hank mergers, even those which took
pl ace three or more years ago. Bankers
could well ask, "Who's In charge here
-- our supervisor.! or the Justice Depart·

slogans, the campus lefties
have had a long field day.
To a regrettable degree they

- that the authentic intellect·
uals and true sensitives of this
country are in sympathy with
Communist terrorists demonstrably having blood in their

It would be absurd to suppose that all or most of these
screeching pedagogues,

splracy. For this is a mixed

Congress still makes our laws, even
though the courts, under the guise of
inter~retation, sometimes seem determined to rewrite them. Senator A. Will·
is Robertson, chairman of the Senate
Banking and Currency Committee, has
introduced a bill, S. 1698, which in clear
and unmistakahle language makes bank
mergers exempt from prosecution under
the anti-trust laws if they have been ap·
proved by the respective supervisory
authorities.

to merge them, it may be for oneor more-of many reasons. One bank
may be doing one kind of business predominantly, while the other may be in
an entirely different line. The loan lim·

a merged bank might be adequate. One
bank may have a management succession problem. Or there just may not be
enough business to absorb the overhead
of two separate managements.
